1. Legal framework of brokerage
In the market of Business-to-Business (B2B) plus services in relationships and intermediation is where Foodmarketsourcing.com supports the commercial trade in respect to the regulatory framework in the brokerage of goods and ethical practices up to proof of the consent of a commercial transaction or sales contract-agreement.
The brokerage is regulated by the articles L.131-1 to L.131-11 of the French Code of Commerce.
The broker is an intermediary who interacts between parties wishing to formalize an agreement of services between them. The broker takes part in the sales contract as intermediate but does not take any commitment or responsibilities of either party, the buyer and the seller. (It is not party to the contract of sale and takes no commitment).
The broker is not necessarily an agent. In effect the broker may receive by special agreement the mandate of a promise and to stipulate this on behalf of a party. He combines then two qualities, that of broker and that of agent.
The broker is a trader in the extent to which it delivers in the usual and professional manner the intervention in an activity. In fact article L.110-1 of the French Code of Commerce deemed acts of commerce as any operation of brokerage. It was there for the independence of the tradesman and his general obligations, that is to say the obligations of registration and accounting.
The broker is guarantor for those orders that he transmits, he is not responsible for the non-conclusion of the contract or the failure by either of the parts on their obligations. He answers nevertheless to negligence’s committed in the execution of its assignment. The amounts transmitted through the site are without VAT. The sales contract will be based on the amount without VAT. The applicable taxes between the two parties located in the same country must comply to specific tax positions of the product. These values of tax will thus be applied by the supplier and indicated separately to the invoice. It is necessary to indicate the intra-community number of VAT between the two parties on the invoices and sale contracts. In the case, where the supplier is in another country than that of the purchaser, the supplier applies the VAT appropriate to the product of its country and transversely the intra-community number of VAT and the taxes are regularized between the two parties. The supplier however mentions on the sale contract and the invoice the amount exempt from VAT.
Contract of commission
The contract of commission is not subject to any conditions of substance nor any form. Taking into account its commercial nature, it is not necessarily in written form but can also be as a verbal agreement.
The remuneration of the services of brokerage is proportional to the value of the commercial transaction carried out.
The commission depends on the product volume and the type of product purchased. In fact the commission will be more important for a low volume of for example macadamia nuts or pine nuts as these are expensive products, where as the commission on ground nuts has a low rating due to its large volume. In the absence of any remuneration being mentioned, then the normal manner or custom of execution of the contract shall apply.
